Demarest and Souza Cescon in bio-tech acquisition

Brazilian firms Demarest e Almeida and Souza Cescon Avedissian Barrieu e Flesch have advised in Monsanto’s $290 million purchase of bio-tech company Aly Participacoes from Votorantim Industrial.

Rogério Cruz Themudo Lessa, Juliana Bonazza Teixeira da Cunha, André Alarcon and Tatiana Campello Lopes from Demarest e Almeida represented Monsanto in the transaction, while André Mestriner Stocche from Souza Cescon advised the sellers, Votorantim.

Bryan Cave partner Fred Bartelsmeyer provided US law advice to Monsanto from the firm’s St Louis office, while Shearman & Sterling Sao Paolo partner Richard Aldrich acted for Votorantim.

Aly Participacoes operates two Brazilian sugarcane breeding and biotech companies.

The deal is expected to close on December 1.
