Lovells and Skadden Arps Slate Meagher & Flom have advised on automotive supplier Continental’s spin-off of a multi-jurisdictional subsidiary.

Lovells represented the buyer, German auto-parts supplier Brose Fahrzeugteile, on its purchase of Continental’s cooling fan and electric motor drive business. Skadden represented the seller, Continental.

The transaction was structured as a combined share-and-asset deal and involved legal advice in Germany, France, China, Hungary, the Czech Republic, Brazil, Canada, Mexico, South Korea and the US.

The merger was cleared in March by the European Commission, which concluded it would not significantly impede competition in the European Economic Area.
